We are pleased to inform you that pursuant to DEA letter of request referenced NMO.5/1/2005-FB-V dated October 7, 2009, and our various discussions on the subject, the Association hereby agrees to amend the Credit Agreement so as to relocate funds among Categories and extend the Closing Date to align it with the extension of the Borrower's RCH II Program. Consequently, the Credit Agreement is hereby amended as follows: 1 Section 2.03 is hereby amended and replaced to read in its entirety as follows: "Section 2.03. The Closing Date shall be March 31, 2012 or such later date as the Association shall establish. The Association shall promptly notify the Borrower of such later date" 2. Schedule 1. Part A, paragraph 2(a) is hereby amended and replaced to read in its entirety as follows: "(a) the term "Eligible RCH II Project Activities" means the activities in Part B of DOHFW Budget set out under Parts A and B of Schedule 2 to this Agreement (other than Part B.2) to be supported under the Project for Fiscal Year 2005-06 to Fiscal Year 2011-2012 through the financing of expenditures on pharmaceuticals and medical supplies, other goods, works, services, Operating Cost;" Dr. Anup K. Part A, paragraph 2(d) is hereby amended and replaced to read in its entirety as follows: "(d) the term "polio eradication activities" means expenditures incurred under Part C of the Project, in a state with a population greater than eight (8) million and with a validated coverage satisfactory to the Association, said expenditures to include training, orientation, honoraria, contractual staff costs and mobility support (Polio Operating Costs)." 5. Schedule 1. Part A, paragraphs 6(a) and 6(b) are hereby amended and replaced to read in their entirety as follows: "(a) the Borrower may request withdrawals from the Credit Account to be made on the basis of the Consolidated Report on Audits submitted by the Borrower pursuant to Section 4.01(c) of this Agreement and any other reports as the Association shall specify by notice to the Borrower." "(b) the Borrower may request withdrawals from the Credit Account to be made on the basis of reports to be furnished to the Association in form and substance satisfactory to the Association, such reports to include the Financial Monitoring Report covering the relevant Fiscal Year and any other information as the Association shall specify by notice to the Borrower (Report-based disbursement). Except as the Association may otherwise agree, such request in respect of a Fiscal Year shall be made not later than July 31 of the following Fiscal Year."
