We also refer to your letter dated August 28, 2024, requesting the Association to make certain changes to the Agreement. The capitalized terms used in this amendment letter (“Amendment Letter”) and not defined herein have the meaning ascribed to them in the Agreement, as applicable. We are pleased to inform you that the Association agrees to your request and hereby proposes to amend the Agreement as follows: 1. Section I.E of Schedule 2 (Implementation Arrangements) is hereby amended to read as follows: “E. Action Plan for Part 1 of the Project The Recipient shall ensure that the activities under Part 1 of the Project are carried out in accordance with the Action Plan, as further detailed in the PIM, all under terms and conditions satisfactory to the Association and to the Participating Countries and, to this end, unless the Association shall otherwise agree, the Recipient shall ensure that, no later than 2 months prior to the Closing Date of the Project, the Power Purchase Agreement is signed and executed under terms and conditions satisfactory to the Association.” 2. Section III.B.2 of Schedule 2 to the Agreement is hereby amended to read as follows: “2. The Closing Date is March 15, 2026.” ` -2- All other provisions of the Agreement, except as amended through this Amendment Letter shall remain in full force and effect. Please also note that the Restructuring Paper dated September 20, 2024 a copy of which is enclosed herewith, will be disclosed on the Association’s external website as per the Association’s Policy on Access to Information. Please note that the indicators to be used for the monitoring and evaluation of the Project and the preparation of the Project Reports (“Results Framework”) further to this extension of Closing Date should be adjusted as stated in Attachment (“Revised Results Framework”) to this Notice. We are looking forward to receiving the updated Project Implementation Manual reflecting the revisions of the results framework, for the Association’s non objection.
