  I. PROJECT STATUS AND RATIONALE FOR RESTRUCTURING

  A. Project status

                  1. The project’s closing date was recently extended by three months, from March 31st to June 30th, 2025.
                     The latest implementation support mission concluded that both the progress towards the
                     development objective and the overall implementation progress were satisfactory.

  B. Rationale for restructuring

                  2. A restructuring is needed to reallocate funds from Category 1 to Category 2. Category 1 finances all
                     expenditures related to national road 44 (RN44) and Category 2 finances all other expenditures. To
                     date, road works on RN44 have been completed, while road works are still underway on other roads
                     (RN12A and feeder roads). The Borrower would like to use the surplus from Category 1 to finance the
                     remaining expenditures under Category 2 until project closing.

  II. DESCRIPTION OF PROPOSED CHANGES

                  3. The only proposed change is to reallocate XDR10,000,000 from Category 1 to Category 2, as detailed
                     in Section IV below.
