                             Amendment 2 to the Financing Agreement


Honorable Matlanyane:

        We refer to the Financing Agreement (“Financing Agreement”) between the Kingdom of Lesotho
(“Recipient”) and the International Development Association (“Association”) dated July 19, 2021, as
amended, for the Lesotho Nutrition and Health System Strengthening Project.

         We also refer to your letter dated December 17, 2024 (Ref. No. FIN/DEV/140-24/25), requesting
to amend certain provisions of the Financing Agreement. Please note that the capitalized terms used in this
letter (“Amendment Letter”) and not defined herein have the meanings ascribed to them in the Financing
Agreement.

      Consequently, we are pleased to inform you that the Association proposes to amend the Financing
Agreement as set forth below:

1.      The Disbursement table set forth in Sections III.A of Schedule 2 to the Financing Agreement is
        hereby amended and replaced as set forth in the Annex to this Amendment Letter.

        All other provisions of the Financing Agreement, except as herein amended, shall remain in full
force and effect.

         Please indicate your agreement to the foregoing, on behalf of the Recipient, by countersigning and
dating the form of confirmation on this Amendment Letter. Upon receipt by the Association of the copy of
this letter countersigned by the Recipient, this amendment shall become effective as of the date of its
countersignature.
