                Re:      The United Republic of Tanzania: Credit No. 7478-TZ
                         (Dar es Salaam Metropolitan Development Project Phase 2)
                         Amendment to the Financing Agreement

         We refer to the Financing Agreement between the United Republic of Tanzania
(the “Recipient”) and the International Development Association (the “Association”) dated
February 20, 2024, regarding the above-titled Project (the “Financing Agreement”). We also refer
to your letters with reference No. CDA. 18/384/01, dated May 30, 2024; and No. CDA 18/384/01,
dated July 15, 2024, requesting the Association to activate the Contingent Emergency Response
Component (CERC) for the Project.

        Please note that the capitalized terms used in this amendment letter (“Amendment Letter”)
and not defined herein have the meanings ascribed to them in the Financing Agreement.

       In view of the above, we are pleased to inform you that the Association hereby agrees to
amend the Financing Agreement as set forth below:

1.      The withdrawal table set forth in Part A of Section III of Schedule 2 to the Financing
        Agreement is hereby amended as set forth in the Annex to this Amendment Letter.

2.      Further to this restructuring and in reference to Section II of Schedule 2 (Project Execution)
        to the Financing Agreement, the indicators given in the Project’s Results Framework set
        out in the Project implementation plan, will be revised in a manner and time frame
        acceptable to the Association.

        Except as herein expressly amended, all other provisions of the Financing Agreement shall
remain in full force and effect.

        Please confirm your agreement on behalf of the Recipient, to the foregoing amendment by
countersigning and dating this Amendment Letter.
