                             Amendment to Trust Fund Administration Agreement


            Dear Mr. Rehof:

                     We refer to the Administration Agreement between the Government of the Kingdom of
            Denmark (the “Donor�) and the International Bank for Reconstruction and Development and the
            International Development Association (collectively, the “Bank�) concerning the Danish Trust
            Fund for the Second Emergency Municipal Rehabilitation Project (TF071367) dated December
            10, 2009 (the “Administration Agreement�). Pursuant to recent discussions between the Donor
            and the Bank, the Bank proposes to amend the Administration Agreement as follows:

                   The date set out in Paragraph 7 of the Administration Agreement (the Disbursement
            Deadline) is revised to read “February 1, 2012.�.
                    All other terms of the Administration Agreement shall remain the same.
                  Unless otherwise defined in this Amendment Letter, terms defined in the Administration
            Agreement have the same meaning in this Amendment Letter.
                    The Bank will disclose this Amendment Letter and related information on this Trust Fund
            in accordance with the World Bank Policy on Access to Information. By entering into this
            Amendment Letter, the Donor consents to disclosure of this Amendment Letter and related
            information on this Trust Fund.
         Please confirm your understanding to the foregoing, on behalf of the Donor, by signing,
dating, and returning to us one of the enclosed originals of this Amendment Letter. Upon receipt
by the Bank of the original of this Amendment Letter countersigned by you, this Amendment
Letter will become effective as of the date of countersignature.
