Amendment No. 4 to the Trust Fund Contribution Arrangement among the Government of Canada, acting through the Department of Foreign Affairs, Trade and Development, the Green Climate Fund, and the International Bank for Reconstruction and Development, serving as the trustee of the Green Climate Fund Trust Fund concerning the Green Climate Fund Trust Fund (MTO No. 069022) 1. Reference is made to the Trust Fund Contribution Arrangement among the Government of Canada, acting through the Department of Foreign Affairs, Trade and Development (the "Contributor"), the Green Climate Fund (the "Fund") and the International Bank for Reconstruction and Development (the "Bank"), serving as the trustee (the "Trustee") of the Green Climate Fund Trust Fund (MTO No. 069022) ("Trust Fund") effective as of December 11, 2015, as may be amended (the "Contribution Arrangement") (the "Trustee", and together with the Contributor and the Fund, the "Participants", and each "Participant"). The capitalized terms used in this Amendment and not defined herein will have meaning given to them in the Contribution Arrangement. 2. The Fund and the Trustee acknowledge that the Contributor has decided to make available to the Trust Fund for the benefit of the Fund the amount of one hundred and eighteen million Canadian Dollars (CAD 118,000,000) in the form of a Grant Contribution (the "Supplemental Grant Contribution") and twenty-two million Canadian Dollars (CAD 22,000,000) in the forn of a Cushion in support of Canada's Second Loan ("Canada's Second Cushion"), in accordance with the provisions of this amendment (the "Amendment"). In accordance with paragraph 2 of the Standard Provisions, the Contributor will make a payment to the Trust Fund as follows: (a) The Supplemental Grant Contribution on or before March 31, 2022 and upon submission of a payment request by the Trustee; and (b) Canada's Second Cushion on or before March 31, 2022 and upon submission of a payment request by the Trustee. 3. Any deposit of cash under paragraph 2(a) and 2(b) above will be made into the bank account designated by the Trustee. 4. When making any deposit of cash, the Contributor will instruct its bank to include in the payment details infonnation (remittance advice) field of its SWIFT payment message, the deposit instructions which include information indicating: the amount paid, that the payment is made by the Contributor for MTO No. 069022 (Green Climate Fund Trust Fund), and the date of the deposit. 5. In providing Canada's Second Cushion under this Amendment, the Fund and the Contributor agree to the following: (a) Canada's Second Cushion will serve as Canada's Second Cushion as defined and described in the Second Loan Arrangement to be entered into between the Government of Canada, acting through the Department of Foreign Affairs, Trade and Development as the Lender, the Fund and the Trustee, as many be amended from time to time (the "Second Loan Arrangement"). (b) Canada's Second Cushion provided under this Amendment will be used by the Fund in accordance with the terms of the Second Loan Arrangement, this Amendment and the Applicable Policies. (c) The Fund shall report to the Contributor on the status of Canada's Second Cushion resources on a semi-annual basis, unless otherwise agreed between the Fund and the Contributor. -2- (d) Any transfer into the Trust Fund to be made as Canada's Second Cushion is subject to the Second Loan Arrangement coming into effect. In the event that the Second Loan Arrangement will not have come into effect, the Participants agree that the Contributor may, at its absolute discretion, decide to either: (i) reduce its total Contribution under this Amendment to one hundred and eighteen million Canadian Dollars (CAD 118,000,000); or (ii) upon verification of its authorities, convert all or any portion of Canada's Second Cushion, up to twenty-two million Canadian dollars (CAD 22,000,000), into a Grant Contribution. The Contributor will submit a written notification to the Fund and the Trustee of its decision, and the Participants agree to further amend the Contribution Arrangement in accordance with paragraph 7 of the Contribution Arrangement to reflect such decision of the Contributor. 6. The Supplemental Grant Contribution and Canada's Second Cushion will be used by the Fund in accordance with its policy for contributions for the first replenishment period from 2020 to 2023. 7. All references in the Contribution Arrangement to "signatories" will be hereby amended to "Participants." 8. All other provisions of the Contribution Arrangement will remain the same and apply to the Supplemental Grant Contribution and Canada's Second Cushion. 9. By entering into this Amendment, the Participants consent to disclosure of this Amendment and related information on this Trust Fund in accordance with paragraph 11.1 of the Standard Provisions. 10. Each of the Participants to this Amendment represents, by confirmning its acceptance below, that it is authorized to enter into this Amendment and act in accordance with its provisions. The Participants are requested to sign and date this Amendment, and upon possession by the Trustee of this fully signed Amendment, this Amendment will come into effect as of the date of the last signature.
