        Re:       Democratic Socialist Republic of Sri Lanka: Metro Colombo Urban Development
                  Project (Loan Number 8145-LK)
                  Amendment to the Loan Agreement

Dear Attygalle:

    We refer to the Loan Agreement (“Agreement”) dated May 18, 2012, between the Democratic
Socialist Republic of Sri Lanka (“Borrower”) and the International Bank for Reconstruction and
Development (“Bank”), as amended, for the Metro Colombo Urban Development Project
(“Project”). We also refer to the letter from the Borrower dated December 27, 2019, requesting an
extension of the Closing Date as well as other restructuring of the Project.

    The Bank agrees to your request and proposes to amend the Agreement as follows:

1.     Section 3.01 of the Agreement shall be amended as follows to indicate the new
implementation arrangement:

        “3.01. The Borrower declares its commitment to the objectives of the Project. To this end,
        the Borrower shall carry out the Project, through the Project management unit within
        MUDWSHF, and in collaboration with the PIAs and PLAs, in accordance with the
        provisions of Article V of the General Conditions.”

2.      Section IV.B.2 of Schedule 2 to the Agreement shall be amended as follows to extend the
Closing Date:

        “2.       The Closing Date is December 31, 2021.”

3.      The acronym “MMWD” in Sections I.A.1 and 2 of Schedule 2 to the Agreement shall be
deleted and replaced with the acronym “MUDWSHF”.

4.    Paragraphs 20 and 29 of the Definition in the APPENDIX to the Agreement shall be
amended to read as follows:

         “20. ‘Project Management Unit’ and ‘PMU’ mean the unit established by the Borrower
        within MUDWSHF for the purposes of Project implementation, and to be maintained as
        provided for in Schedule 2, Section I, Part A.1 of this Agreement.”

         “29.    ‘MUDWSHF’ means the Borrower’s Ministry of Urban Development, Water
         Supply, and Housing Facilities, or any successor thereto.

         All other provisions of the Agreement, except as revised herein, remain unchanged.

         Please confirm your agreement to the foregoing on behalf of the Borrower by
countersigning and dating the corresponding form of confirmation set forth below, and returning
one fully countersigned original of this letter of amendment to us. Upon receipt by the Bank of the
original of this letter of amendment countersigned by you, this letter of amendment shall become
effective as of the date of the countersignature.
