Amendment to Financing Agreement and Notice of Partial Cancellation
Excellency:
We refer to the Financing Agreement (the "Agreement") dated July 15, 2010 between the
Socialist Republic of Vietnam ("Recipient") and the International Development Association
("Association") for the Project Preparation Technical Assistance Facility Project ("Project"), as
amended to date. We further refer to a letter dated December 22, 2015 from Mr. Ha Hai An, Deputy
Director General of the State Bank of Vietnam, on behalf of the Recipient, requesting certain
modifications to the Agreement, including (a) extension of project closing date; (b) cancellation of
an unused amount of SDR 8.24 million; and (c) removal of the project performance indicators from
the Agreement as the indicators will be included in the Project Operations Manual.
We are pleased to inform you that the Association concurs with your requests and to give
effect to such requests hereby agrees to amend the Agreement as follows:
1.     Paragraph 1(a) of Section II. A of Schedule 2 to the Agreement is amended to read as follows:
"(a)   The Recipient shall monitor and evaluate the progress of the Project and prepare
Project Reports in accordance with the provisions of Section 4.08 of the General
Conditions and on the basis of the indicators acceptable to the Association and set
forth in the Project Operations Manual. Each Project Report shall cover the period
of one (1) calendar quarter, and shall be furnished to the Association not later than
forty-five (45) days after the end of the period covered by such report."
2.     Paragraph 1(b) of Section II. A of Schedule 2 to the Agreement is hereby deleted in its
entirety.
3.     Paragraph 2 of Section IV. B of Schedule 2 to the Agreement is amended to read as follows:
"2.    The Closing Date is October 31, 2017."
4.     Pursuant to Section 6.01 of the General Conditions, the Association hereby cancels, as of
December 22, 2015 the amount equal to SDR 8.24 million from the credit.


Except as specifically amended herein, all other provisions of the Agreement remain in full
force and effect.
Please confirm your agreement with this amendment by countersigning, dating and returning
to us the enclosed copy of this letter. Upon receipt by the Association of the countersigned copy of
this letter, this amendment shall become effective as of the date of the countersignature.
