We refer to the Financing Agrtement between the Kingdom of Cambodia (the Recipient)
and the International Developmelt A:;sociation (the Association), dated January 14, 2009 for the
Denand for Good Goverm.nce Pr:ject (the Project). We also refer to the letter dated
December 19, 2012 from Mr. Keat Chhon, Deputy Prime Minister, Ministry of Economy and
Fi 7ance, requesting an extension of the closing date of the Project and a reallocation of proceeds
of :he Financing among categ )ries, in order to facilitate the implementation of the Project.
Accordingly, te Associa:ion proposes to amend the Financing Agreement as set out
be Ow.
1. The Association has established March 31, 2014 as the later date for purposes of
Section IV B.2 of lchedulc 2 to the Financing Agreement.
2. The table i-i Sectioii 1I.A.2 of Schedule 2 to the Financing Agreement is replaced with
the table in the Att;Lchinent to this amendment letter.
Except as specifically ref ectei in this amendment letter, all provisions of the Financing
Ai;reement shall remain in full force and effect.
Unless the context ctherwis. requires and except where otherwise defined in this
aimnendment letter all apitali2ed :erm; contained in this amendment letter shall have the meanings
g ien to them in the Financing Agreeinent.
