Auditor's Opinion Auditor's Opinion To Zhengzhou Rail Transit Co., LTD, We have audited the special purpose Financial Statements (from page 5 to page 19) of Zhengzhou Rail Transit Line 3 Pro ect (Phase 1) Financed by the World Bank, which comprise the Balance Sheet as of December 31, 2020, the Summary of Sources and -Uses of Funds by Project Component, the Statement of Implementation of Loan Agreement and the Special Account Statement for the year then ended, and Notes to the Financial Statements. Project Entity's Responsibility for the Financial Statements Your entity is responsible for the preparation of the Balance Sheet, the Summary of Sources and Uses of Funds by Project Component and the Statement of Implementation of Loan Agreement, which include: i. Preparing and fair presenting the accompanying financial statements in accordance with Chinese accounting standards and system, and the requirements of the project loan agreement; ii. Designing, implementing and maintaining necessary internal control to ensure that the financial statements are free from material misstatement, whether due to fraud or error. Auditor's Responsibility Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with the Government Auditing Standards of the People's Republic of China and International Standards on Auditing. Those standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the auditor's judgment, including the assessment of the risks of material misstatement of the financial statements, whether due to, fraud or error. It is of great importance to ftmdamentally relieve the urban traffic pressure, fin-ther improve conditions in the old areas, decentralize population, drive and promote the prosperity and development of the new ones. The project Phase I, starting from Xinliu Road Station to Hanghai East Road Station, totals 25.2 kilometers, with a total of 21 stations. The project agreement was signed on Februaryl3, 2015 and entered into effect on May 13, 2015. The account of the project was expected to be closed on June 30, 2021. The project investment totaled RMB 20.608 billion, of which, the World Bank loan amount was USD250 million. The World Bank loan will be used for the civil works of Bidding Section I to 4 of the Metro Line 3. The investment was expected to reach RUB 1.89 billion yuan. 2. Scope of the Financial Statements The scope of the financial statements covers the financing and the construction investment accounting of Metro Line 3 prepared by Zhengzhou Metro Group Co., Ltd and Zhengzhou. Zhongjian Shentie Rail Co., LTD. 3. Accounting Policies 3.1 The Financial Statements of the project were prepared according to the requirements of Accounting Methods for the World Bank Financed Project (CJZ[2000]No. 13). 3.2 In accounting practice, the Gregorian calendar year is adopted as the fiscal year from January I to December 3 1. 3.3 The accrual basis and the debit/credit double entry bookkeeping method are adopted. RMB (PUB) is used as the recording currency of bookkeeping. 3.4 According to the exchange rate issued by the People's Bank of China December 31, 2020, that is USD I = RMB6.5249yuan. 16 4. Project implementation 4.1 Project construction progress The Zhengzhou Metro Line 3 Phase 1 initially operated on December 26, 2020, when main bodies of 21 stations were completed, all tunnels were completed with all rails placed (100%) and affiliated structures (96%) completed. Currently, the construction of the rest is ongoing. 4.2 Fund Drawing and Report The project applied for fund drawing totaling USD17,769,286.30 in 2020, and USD18,718,774.15 from the World Bank, of which, the project amount totaled USD18,484,123.04, and the commitment fee: USD234,651.11. 4.3 Use of Special Account The ending balance on the special account totaled USD2,250,937.20, there was USD17,769,286.30 which had been paid but not reported for fund drawing by the end of December 31, 2020, the accumulated interest income totaled USD20,239.48, the ending net deposit for the first time on the special account totaled USD20,000,000.00. 5. Explanations for Items 5.1 Project Expenditures The project expenditure totaled RMB 5,683,632,606.40 yuan in 2020, occupying 69.67% of the yearly investment plan; the project expenditure accumulated RMB 17,533,214,972.97 yuan, occupying 85.08% of the total investment amount. 5.2 Prepayment and receivables The balance of prepayment and receivables totaled RiMB84,038,353.16 yuan on December 31, 2020, of which, the prepayment totaled RMB 78,752,912.59 yuan, most related to the civil construction; the receivables totaled dRMB5,285,440.57 yuan. 5.3 Project capital and capital reserve The balance of project capital and capital reserve totaled RMB6,798,220,000 yuan on December31,2020, of which, the called up capital totaled RMBI,004,000,000.00 yuan, capital reserve: RMB5,794,220,000.00 yuan. 5.4 Project Borrowing 17 The balance of project borrowing totaled RMB10,685,838,699.02 yuan on December 31, 2020,which is the bank loan for the Zhengzhou Metro Line 3 Phase I. The balance of the World Bank loan totaled RMB1,141,328,409.49 yuan. 5.5 Account payable The balance of account payable totaled RMB1,338,708,286.41 yuan on December 31, 2020, most related to the Zhengzhou Metro Line 3 Phase I project, quality guarantee and interest for loans, of which, the interest of the World Bank loan totaled RMB6,623,079.69 yuan. 5.6Monetary Fund The balance of monetary fund totaled RMB1,205,513,659.30 yuan on December 31, 2020, of which, the balance of special account for the World Bank by Henan Finance Department totaled USD2,250,937.20 (about RMB14,687,140.14 yuan under the exchange rate released on December 31, 2020) 5.7 Fund drawing in the current period The project fund drawn for the current period totaled USD18,484,123.04, and the commitment fee USD234,651.11. 18 三、审计发现的问题及建议 审计发现的问题及建议 除对财务报表进行审计并发表审计意见外,审计中我们还关注了项目 执行过程中相关单位国家法规和项目贷款协定遵守情况、内部控制和项目 管理情况。我们发现存在如下问题: (一)世界银行贷款资金结余较大 郑州轨道交通3号线一期工程世界银行贷款资金.悠计25000万美元, 截至2020年底,累计佼用世界银行贷款资金17491.89万美元,未提款资 金7508.11万粎元,按2020年12月31日的汇率,即1美元=人民币6.5249 元,折合人民币48989.67万元。2020年12月26日,郑州地铁3号线一 期工程已通车,利用世界银行贷款的土建工程均已完工,但世界银行贷款 的结余资金较大,未能充分利用世界银行贷款资金利息较低的优势;同时, 对尚未佼用的部分需簴纳资金承诺费,资金利用效率不高。 截至2021年4月30日,该项目累计向世界银行提款21213.n万美 元,其中工程、咨询服务提款18910.09万美元,先征费支出提款62.5 万粎元,扼诺费支出提款240.52万美元,周转金提款2000万美元,项目 剩余未提款金额3786.89万美元。 郑州地铁集团有限公司应积极协调河南省财政厅,尽快将世界银行贷 款资金全部提款佼用。郑州地铁集团有限公司已接受审计建议。 (二)未经批准,擅自占用土地 郑州地铁集团有限公司因建设郑州轨道交通3号线一期工程贾鲁河 停车场和地铁车辆段,未履行建设用地报批手续,占地52.06万平方米, 被郑州市自然资源和规划局惠济分局和郑州市自然资源和规划局经开分 局分别处籚款484.15万元和5&.19万元。 2020年8月12日,郑州市人民政府市长办公会议纪要要求:各涉及 单位(部门)按照“簺什么补什么”的原则,根据职责分工尽快完成相关 资料的补办、整理、组卷及报审工作;由郑州市自然资源和规划局负责, 把郑州轨道交通3号线一期工程占用基本农田问题予以调整解决。 19 截至2021年4月3。日,上述违法占用土地的用地手续正在办理中。 郑州地铁集团有限公司应严格按相关法律法规和市长办公会议纪要 要求,尽快完成相关资料的补办、整理、组卷及报审工作。郑州地铁集团 有限公司已接受审计建议。 (三)世界银行01标段至04标段施工过程中,施工单位、监理单 位履职尽责不到位 1.施工单位主要管理人员镼期不在岗,且监理单位未履职尽责。 根据双方合同约定,项目经理每月在施工现场的时间要求应不少于 22天,每天不少于4小时。经审计发现,01标段至洲标段在施工过程中, 各标段施工单位主要投标管理人员长期不在岗履职。 监理单位中咨工程管理有限公司履职尽责不到位,未能有效督促施工 单位纠正上述行为,致使此问题长期存在。 2.施工单位质量管理文件签署不规范。 世界银行02标段施工过程中,施工单位北京城建中南土木工程集团 有限公司项目经理马金华在进场材料使用报验单、工程进度计划申报表等 多个文件中签字出现多种笔迹;世界银行03标段施工过程中,施工单位 宏润建设集团股份有限公司项目经理郑春华在进场材料使用报验单、报验 表、例会验收签到单等多个文件中签字出现多种笔迹,存在他人代签情况 且未加盖个人执业章. 上述行为不符合《河南省建筑工程施工现场质量标准化管理实施办 法》(豫建建〔2014〕114号)第十条“施工中资料和工程进度必须同步, 签字不得早签、迟签、代签,其中需项目经理、总监、设计负责人签字的, 除本人签名外,还要加盖个人执业章”的规定。 郑州地铁集团有限公司应严格督促各施工单位和监理单位按照合同 约定开展工作,确保各项工程按照合同要求规范运行。郑州地铁集团有限 公司已接受审计建议。 (四)存在不同投标人的投标文件异常一致的情况 郑州轨道交通3号线一期工程绿化设计施工总承包项目提供的投标 文件中,投标人中衍郑州工程设计研究院有限公司和河南省景观规划设计 20 研究院有限公司,投标文件第八章“对环保施工、工程保修及养护的承诺” 第一项关于环保施工的扼诺部分,除个别词条顺序不一致外,大段文字描 述雷同,该处异常一致。 上述行为不符合《中华人民共和国招标投标法实施条例》第四十条“有 下列情形之一的,视为投标人相互串通投标:……〔四)不同投标人的投 标文件异常一致或者投标报价呈规律性差异;…,二”的规定。 :郑州地铁集团有限公司在各项工程招投标时应严格按照《中华人民共 和国招标投标法》的要求,认真组织招投标,杜绝上述问题的发生。郑州 地铁集团有限公司已接受审计建议. 21 III. By the end of 2020, the accumulated World Bank loan fund used is 174.92 million dollars, and the undrawn fimd is 75.08 million dollars. According to the exchange rate on December 31, 2020, that is I dollar = RMB6.5249 yuan, equivalent to RMB489.90 million yuan. On December 26, 2020, the first phase project of Zhengzhou Metro Line 3 has been opened to traffic, and the civil engineering projects using the World Bank loan have been completed, but the balance of the World Bank loan funds is large, which fails to make full use of the advantage of low interest of the World Bank loan funds. At the same time, the commitment fee for fimds. must be paid for the unused part, so the funds utilization is not high. As of April 30, 2021, a total of 212.13 million dollars has withdrawn from the World Bank for the project including 189. 10 million dollars for engineering and consulting services, 625,000 dollars for front-end fee, 2.41 million dollars for commitment fee, 20 million dollars for working capital, and the remaining 37.87 million dollars is undrawn. We recommended that Zhengzhou Rail Transit Co., LTD actively coordinate with the Department of Finance of Henan Province to withdraw all the World Bank loan funds for use as soon as possible. Zhengzhou Rail Transit Co., LTD has accepted the audit recommendation. (11) Unauthorized occupation of land without approval Zhengzhou Rail Transit Co., LTD occupied a plot of 520,600 rn2 without application for approval for construction land of Jialuhe parking lot and Metro Depot of the first phase project of Zhengzhou Rail Transit Line 3, so it is fined 22 RMB4.84 million yuan and RMB5.67 million yuan respectively by the Huiji branch of Zhengzhou Natural Resources and Planning Bureau and the Economic Jingkai Branch of Zhengzhou Natural Resources and Planning Bureau. On August 12, 2020, it is required by the minutes of the mayor's office meeting of Zhengzhou Municipal People's Government that all relevant units (departments) shall complete the supplementation, collation, composition and submission of document for audit as soon as possible according to the division of responsibilities and the principle of "adding what is short of "; the Natural Resources and Planning Bureau of Zhengzhou is responsible for regulation and solution of the problem of land occupation of basic farmland in the first phase project of Zhengzhou Rail Transit Line 3. As of April 30, 2021, the application for land use is under way regarding to the above-mentioned land. We recommended that Zhengzhou Rail Transit Co., LTD to complete the supplementation, collation, composition and submission of document as soon as possible in strict accordance with relevant laws and regulations and the requirements of the minutes of mayor's office meeting. Zhengzhou Rail Transit Co., LTD has accepted the audit recommendation. ( III) The construction unit and supervision unit failed to perform their duties properly in the construction process of World Bank 01-04 bid sections. 1. The main management personnel of the construction unit are not on duty for a long time, and the supervision unit fails to perform its duties. According to the contract of both parties, it is required that the project manager should be on the construction site for 22 days or more every month, not less than 4 hours a day. However, the main bid management personnel of the construction units of each bid section were not on duty for a long time during the construction of bid sections 01 - 04. Zhongzi Engineering Management Co., Ltd. as a supervision unit, failed to perform its duties properly, and failed to make an effective supervision and urge of the construction unit to correct the above behaviors, resulting in the 23 long-term existence of this problem. 2. The documents are singed on behalf of others and personal seal for practicing is not affixed. Above is not in compliance with the provisions of Article 10 of the "Measures for the Implementation of Quality Standardization Management of Construction Sites in Henan Province" (YJJ [2014] No. 114), "the documents and project progress must be synchronized during construction, with the signature not be early, late or on behalf of the project manager, chief inspector and design director, and the personal seal for practicing should be affixed." We recommended that Zhengzhou Rail Transit Co., LTD should strictly supervise and urge all construction units and supervision units to carry out work in accordance with the contract, so as to ensure the standardized operation of various projects in accordance with the contract requirements. Zhengzhou Rail Transit Co., LTD has accepted the audit recommendation.
