Withdrawal from the Aft ica Catalytic Growth Fund Multi-Donor Trust Fund
(TF No. 070478)
Dear Mr. Healey:
1.    We    refer to the M.morandum of Understanding, dated August 23, 2006,
(the "MoU"), between the United Kingdom of Great Britain and Northern Ireland, acting
through the Department for International Development (DflD) (the "Donor"), and the
International D velopment As ;ociation ("IDA"), concerning the Africa Catalytic Growth
Fund (TF No. Q70478) (the "Trust *.Fund"). Capitalized terms used but not defined in this
letter have the oieanings given to them in the MoU.
2.    Pursuant to your communication dated October 4, 2012, informing IDA of your
Jesire to withdiaw from the Trust Fund, it is agreed that:
(a)    In accordance vith paragraph 9.2 of Annex 2 of this MoU, the Donor's pro
rata share of any uncomamit:ed balance of the Trust Fund is cancelled effective as
of the date of countersi ,nature by the Donor of this letter ("Cancellation Date").'
(b)    Notwithstandin, paragraphs 9.2 and 9.3 of Annex 2 of this MoU, the
Donor hereby waives any rights to receive: (i) its pro-rata share of any remaining
uncommitted balance of the Trust Fund as of the Cancellation Date; (ii) its pro-
rata share of any remaining balance of the Trust Fund as of the final end-
disbursement date; anc (iii) any funds that the Donor may be entitled to receive
after the end-disbursement (late of the Trust Fund. In addition, the Donor hereby
instructi the Bank to tr, sfer to IDA, as part of its contribution to the resources of
IDA, any funds under (ii) atnd (iii) that may become available.
(c)    As of the Cancellation Date, the Donor shall have no further rights with
respect to the Trust Fund including no rights to participate in any applicable
governance arrangements of the Trust Fund, and IDA shall have no further
obligations to the Donor under this MoU, including no obligation to provide
financial or progress re ports.

3. IDA will disclose thi; let:er and related information on this Trust Fund in
accordance with the World B mk Policy on Access to Information. The Donor hereby
consents to the disclosure of this letter and related information on this Trust Fund.
Please confirm your agreement to the foregoing, on behalf of the Donor, by
;igning, dating, and returning to us the enclosed copy of this letter.
