Amendment to the Financin2 Agreement
Excellencv
We refer to the Financing Agreement ("Agreement"), dated July 7, 2016, between
Burkina Faso ("Recipient") and the International Development Association ("Association-) for the
abovementioned Project, as amended. Please note that The capitalized terms used in this letter
("Amendment Letter-) and not defined herein have the meanings ascribed to them in the
Agreement.
Pursuant to the Recipients letter of August 13. 2020, requesting specific modifications to
the Agreement, the Association concurs to your request and proposes to amend the Agreement in
respect of the provisions below:
I.     Section L.A.2 of Schedule 2 to the Agreement is hereby amended to read as follows:
'2.   Project Steering Committee
The Recipient shall maintain throughout the implementation of the Project, a
Project Steering Committee, with a composition. mandate, terms of reference, and
resources acceptable to the Association, to be responsible for, inter alia:
(a) providing strategic and policy guidance for the Project; (b) approving Annual
Work Plans and Budgets; and (c) reviewing and endorsing Project progress and
financial reports. The Project Steering Committee shall comprise: (a) the general
directorate of studies and sectoral statistics of the Recipient's ministry in charge of
urban planning and housing; (b) the general directorate of housing of the
Recipient's ministry in charge of urban planning and housing (c) the general
directorate of urban planning of the Recipient's ministry in charge of urban
planning and housing; (d) the general directorate of studies and sectoral statistics


of the Recipient's ministry in charge of local gov ernment, and (e) respective mayor
of Ouagadougou, Manga, Dedougou. Tenkodogo, Koudougou and Ouahigouya."
2.     A new Section I is hereby added to Schedule 2 to the Agreement to read as follows:
"L     Implementation Agreement
I.    To facilitate the carrying out of Part B of the Project, the Recipient shall by
December 15. 2020 enter into and thereafter maintain an implementation
agreement, respectively, with AGETIB and ACOMOD, under terms and
conditions satisfactory to the Association ("Implementation Agreement"1).
2.     The Recipient shall under the Implementation Agreement, ensure that AGETIB
and ACONIOD, respectively, carry out the technical implementation and
management of their Respective Part under Part B of the Project with competent
staff in adequate numbers and with terms of reference, qualification and experience
satisfactory to the Association, as further detailed in the Project Implementation
Manual.
3.     The Recipient shall, through the PCIU, exercise its rights under the Implementation
Agreement in a maimer as to protect the interest of the Recipient and the
Association. Except as the Association shall otherwise agree, the Recipient shall
not assign, amend, abrogate or waive the Implementation Agreement or any of its
provisions. In case of conflict betwxeen the terms of the Implementation Agreement
and this Agreement, the terms of this Agreement shall prevail."
3.     Section IV.B.2 of Schedule 2 to the Agreement is hereby amended to read as follows:
"2.    The Closing Date is December 31, 2021."
4.     The following new definitions are hereby added and placed in alphabetical order in the
Definition Section of the Agreement to read as follows and the remaining definitions are
renumbered accordingly to maintain alphabetical order:
""ACOMOD- means Agence de conseil et de matrise d'ouvrage delegude en [thmet et
amenagement urbain du IBurkina Faso, an agency established on December 8, 2010.
pursUiant to decree No. 2010-745/PRES/PM'I/MHU/MEFIMCPEA."
""AGETIB" means Agence d'execution des travaux dinfi-astructzire du Burkina Faso,. an
agency established on July 10. 2010. pursuant to decree No. 20 10-394/RES/PM MC PEA."
""Implementation Agreement" means the agreement to be entered respectively between
the Recipient and either AGETIB or ACOMOD, as referred to in Section I of Schedule 2
to the Agreement.
""Respective Part" means the following Local Government Activities under Part B of the
Project: (a) urban roads and a storm water drainage channel, to be implemented by
AGETIB; and (b) construction and:or extension of bus station facilities, a slaughter facility
and market facilities, to be implemented by ACOMOD."


All the terms and conditions of the Agreenent that have not been arnended herebv shall
remain unchanged and in full force and effeet.
Please confirm your aGreement with the foregoing amendment. on behalf of the Recipient,
by signing, dating and returning to the Association the enclosed copy of this Arnendment Letter.
This Arnendment Letter shall becorne effective as of the date of its countersignature upon receipt
by the Association of a countersigned copy of this letter.
