Amendment No. S to the Administration Agreement between the Norwegian Ministry of
  Foreign Affairs and the International Bankfor Reconstruction and Development and the
 International Development Association regarding the Middle East and North Africa (MNA)
        Region-wide Technical Assistance Multi-Donor Trust Fund (TF No.071840)

   Amendment No. 3 to the Supplemental Agreement between the Norwegian Ministry of
  Foreign Affairs and the International Bankfor Reconstruction and Development and the
International Development Association concerning the Middle East and North Africa (MNA)
                             Region-wide Technical Assistance
                                 Multi-Donor Trust Fund

         (Trust Fund No. TF072755 parallel to original Trust Fund No. TF071840)
                               (Donor No. PAL 20/0018)


1.      Reference is made to the Administration Agreement between the Norwegian Ministry of
Foreign Affairs (the "Donor") and the International Bank for Reconstruction and Development
and the International Development Association (collectively, the "Bank" and together with the
Donor, the "Parties" and each a "Party") regarding the Middle East and North Africa (MNA)
Region-wide Technical Assistance Multi-Donor Trust Fund (TF No.071840) (the "Trust Fund")
effective May 03, 2012, as amended to date (the "Administration Agreement").

2.     Reference is made to the Supplemental Agreement between the Donor and the Bank
regarding the Middle East and North Africa (MNA) Region-wide Technical Assistance Multi-
Donor Trust Fund No. TF072755 effective as of December 05, 2016, as amended to date (the
"Supplemental Agreement).

3.     The Parties agree to the following amendment to the Administration Agreement:

       Section 8.1 ofAnnex 2 to the Administration Agreement shall be deleted and replaced with
       the following:

       "8.1.  It is expected that the Contributions will be fully disbursed by the Bank by
       December 31, 2023. The Bank shall only disburse Contributions for the purposes of this
       Agreement after such date with the written approval ofthe Donors."

4.     Additionally, the Parties have decided to amend Section 7 ofthe Supplemental Agreement
       to read as follows:

               7.    The Parties agree that the End Disbursement Date for purposes of the
       Parallel Account is December 31, 2023."
5.     All other terms of the Administration Agreement and the Supplemental Agreement shall
remain the same.

6.      The Bank shall disclose this Amendment in accordance with the Bank's Policy on Access
to Information. By entering into this Amendment, the Donor consents to such disclosure.

7.      Each of the Parties represents, by confirming its agreement below, that it is authorized to
enter into this Amendment and act in accordance with these terms and conditions. The Parties are
requested to sign and date this Amendment, and upon possession by the Bank of this fully signed
Amendment, this Amendment shall become effective as of the date of the last signature.
