               AMENDMENT to the AGREEMENT

Deutsche Gesellschaft für Internationale Zusammenarbeit (GIZ) GmbH
(formerly, the German Agency for Technical Cooperation (GTZ) GmbH),
               Division of Agriculture, Fisheries and Food


                                for



 The Global Donor Platform for Rural Development (the “Platform�)
1.                                            Reference is made to the Agreement between the
     International Bank for Reconstruction and Development (the “Bank�) and the German Agency
     for Technical Cooperation (GTZ) GmbH, Division of Agriculture, Fisheries and Food (the
     “Recipient�) for the Global Donor Platform for Rural Development (the “Platform�) dated June
     30, 2010 (the “Agreement�).

2.                                             Pursuant to recent discussions between the Bank and
     the Recipient regarding the merger of GTZ into GIZ, the revisions to the financial reporting
     requirement and the extension of the term of the Agreement, the Bank and the Recipient agree as
     follows:

     2.1    GIZ represents and warrants to the Bank that GTZ has duly merged into GIZ on January
            1, 2011, and that GIZ has been the successor of all rights, obligations and liabilities of
            GTZ under or pursuant to the Agreement. GIZ affirms to the Bank that it will duly
            observe and perform and be bound by all the terms, covenants, conditions and provisions
            of the Agreement as prior thereto have been binding on GTZ. Accordingly, starting since
            January 1, 2011, GIZ shall be the “Recipient� under the Agreement, and all references to
            “GTZ�, “Deutsche Gesellschaft für Technische Zusammenarbeit (GTZ) GmbH� and
            “German Agency for Technical Cooperation (GTZ) GmbH� in the Agreement shall be
            replaced by “GIZ� and “Deutsche Gesellschaft für Internationale Zusammenarbeit (GIZ)
            GmbH�, respectively. The contact details of the Recipient specified in paragraph 19 of
            the Agreement shall also be amended to read as follows:

     2.2    Paragraph 11(d) of the Agreement shall be deleted in its entirety and replaced by the
            following:

            “11.(d) a final annual externally audited financial report of the entire contributions to the
                    Platform and expenditures made from those contributions in accordance with
                    paragraph 10 above for the calendar year that is being audited, to be provided
                    within twelve (12) months after the calendar year that is being audited, with the
                    exception of the audit report for calendar year 2011 which shall be provided to
                    the Bank by May 31, 2012.�

     2.3    Paragraph 18 of the Agreement shall be deleted in its entirety and replaced by the
            following:

         “18.    This Agreement shall come into force and effect upon the date of the last signature of the
                 Parties. It shall remain in effect until July 31, 2012, unless there is an exchange of letters
                 between the Parties formally extending the effect of the Agreement.�

3.                                                   All other terms of the Agreement shall remain the
         same.

4.                                                The Bank will disclose this Amendment and related
         information on this Amendment in accordance with the World Bank Policy on Access to
         Information. By entering into this Amendment, the Recipient consent to disclosure of this
         Amendment and related information on this Amendment.

In witness whereof, the Parties have caused this Amendment to become effective as of the last date of
countersignature written below.
