Re: Loan No. 8183-UY - OSE Sustainable and Efficient Project
Amendment to the Loan Agreement
We refer to the Loan Agreement between Administraci6n de las Obras Sanitarias
del Estado (OSE) (the Borrower) and the International Bank for Reconstruction and
Development (the Bank) for the above-captioned Project, dated December 11, 2012, as
amended (the Loan Agreement). Please note that capitalized terms used in this letter
(Amendment Letter) and not defined herein have the meaning ascribed to them in the Loan
Agreement.
In accordance with: (a) the aide-memoire of the implementation mission held on
October 9 - 12, 2017, which reflects the Borrower's request to modify the Project's results
framework and revise the implementation schedule considering the Project's Closing Date
(December 31, 2019) as extended by the Bank on July 19, 2017; and (b) our recent
conversations on the subject; I am pleased to inform you that the Bank concurs with your
request and proposes to amend the Loan Agreement as follows:
1.    Part 2.1(a) of Schedule 1 to the Loan Agreement is modified in its entirety to read
as follows:
"2.1  Non-Revenue Water Reduction
(a)    Establishment of DMCs in the Guarantor's cities of Montevideo, Rivera,
Salto, and Las Piedras;"
All other provisions of the Loan Agreement, except as amended herein, shall
remain in full force and effect.


Please confirm your agreement to the foregoing amendment by signing and dating
this Amendment Letter in the spaces provided below. This Amendment Letter will be
executed in two counterparts, each of which shall be deemed an original and one of which
shall be returned to us. The amendment set forth in this Amendment Letter will become
effective as of the date of your countersignature, upon receipt by the Bank of one fully
countersigned original of this Amendment Letter.
Please also note that the Restructuring Paper, a copy of which is attached herewith,
will be disclosed on the Bank's external website.
