LESOTHO: Smallholder Agriculture Development Project

Amendment to the Financing Agreement
1.    We refer to the Financing Agreement (the "Agreement") dated November 16, 2011
between the Kingdom of Lesotho (the "Recipient") and the International Development
Association (the "Association") concerning the Smallholder Agriculture Development
Project.
2.    Pursuant to discussions between the Recipient and the Association, we are pleased
to inform you that the Association proposes to amend the Agreement as follows:
(i)   The Project Description as set forth in the first paragraph of
Schedule 1 to the Agreement is hereby amended to read as follows:
"The objective of the Project is to increase in marketed output
among project beneficiaries in Lesotho's smallholder agriculture
sector and, to improve the Recipient's capacity to respond promptly
and effectively to an Eligible Crisis or Emergency."
(ii)  Paragraph 2 of Section IV. B of Schedule 2 to the Agreement is
hereby amended to read as follows:
"2.   The Closing Date is February 28, 2020."

3.    All other provisions of the Agreement, except as amended herein, shall remain in
full force in effect.
4.     Please indicate your agreement with the foregoing, on behalf of the Recipient, by
countersigning and dating below on the two original copies of this letter provided and
returning one countersigned original to us. Upon receipt by the Association of the original
of this letter countersigned by you, this amendment shall become effective as of the date
of countersignature.
