Re:    Lao PDR: Greater Mekong Sub-region Power Trade Project
(Grant Number H300-LA)
Amendment to Project Agreement
We refer to the Project Agreement dated September 7, 2007 ("Project Agreement")
between the International Development Association ("Association") and the Electricit6 du
Laos ("Project Implementing Entity"), for the above-mentioned Project (the Project). We
further refer to the letter from H.E. Phouphet Khamphounvong, Minister of Finance of the
Lao People's Democratic Republic dated March 5, 2013, requesting certain modifications
to the Project Agreement, as well as the discussions between the Recipient and the
Association relating to other amendments during the review of the Project, including
partial cancellation of the credit equal to three million two hundred thousand Special
Drawing Rights (SDR 3,200,000) effective March 5, 2013, as referred to in the aide-
memoire transmitted to the Recipient through the Association's letter dated June 19, 2013.
We note that the Annex to the aide-memoire mentions only representatives from Electricit6
du Laos.
We are pleased to inform you that, after due consideration, the Association concurs
with the request and to give effect to such request agrees to amend the Project Agreement
as set forth below.
1.     Article II, Section 2.01 is amended as follows (emphasis added):
"2.01. The Project Implementing Entity declares its commitment to the objectives
of the Project. To this end, the Project Implementing Entity shall carry out
Parts B, C, D, G and H of the Project in accordance with the provisions of
Article IV of the General Conditions, and shall provide, promptly as
needed, the funds, facilities, services and other resources required for its
Respective Parts of the Project.
2.     Paragraphs 4, 5, 6 and 7 of Section II.B of the Schedule to the Project Agreement
are by deleted.

Except as specifically amended herein, all other provisions of the Project
Agreement remain in full force and effect.
Please confirm your agreement with this amendment by countersigning, dating, and
returning to us the enclosed copy of this letter. Upon receipt by the Association of the
countersigned copy of this letter, this amendment shall become effective as of the date of
the countersignature.
