Amendment to the Transfer Agreement between the International Bank for Reconstruction and Development, as Trustee of the Partnership for Market Readiness Multi-Donor Trust Fund, and the United Nations Development Programme, with respect to the Implementation of Indonesia's Market Readiness Proposal under the Partnership for Market Readiness (TF No. TFOA3491) 1. Reference is made to the Transfer Agreement between the International Bank for Reconstruction and Development, as Trustee (the "Trustee") of the Partnership for Market Readiness Multi-Donor Trust Fund (TF No. TFO71670) (the "PMR Trust Fund"), and the United Nations Development Programme (the "Delivery Partner", and together with the Trustee, the "Parties" and each a "Party") that has been entered into for the transfer of funds by the Trustee to the Delivery Partner from the PMR Trust Fund through a disbursing trust fund (TF No. TF0A3491) (the "PMR Transfer Trust Fund") effective as of October 20, 2016 (the "Transfer Agreement"). 2. The Trustee and the Delivery Partner agree to the following amendment to the Transfer Agreement: a) The preamble in the fourth paragraph is deleted in its entirety and replaced by the following: "WHEREAS following the allocation by the Partnership Assembly of the PMR (the "PMR Partnership Assembly") in its Resolution No. PA 7/2013-1, the approval of the Delivery Partner in the PMR Partnership Assembly's Resolution No. Resolution No. PA Electronic/2016-1, and the PMR Partnership Assembly's no objection to the material terms ofthis Transfer Agreement, the Trustee shall transfer the amount of three million one hundred fifty thousand United States dollars (US$3,150,000) (the "Original Funds") from the PMR Transfer Trust Fund to the Delivery Partner, of which: (i) two million seven hundred seventy-seven thousand seven hundred seventy-eight United States dollars (US$2,777,778) will be used to support the implementation of Indonesia's Market Readiness Proposal under the Partnership for Market Readiness (the "TA I "); (ii) two hundred twenty-two thousand two hundred twenty-two United States dollars (US$222,222) will be used to cover the Delivery Partner's administration expenses associated with the TA 1, as set forth in paragraph 6 (a) below; and (iii) one hundred fifty thousand United States dollars (US$150,000) will be used to cover the Delivery Partner's supervision expenses, as set forth in paragraph 6 (b) below. WHEREAS following the allocation on September 20, 2019 by the Partnership for Market Readiness Secretariat (the "PMR Secretariat") pursuant to the authority delegated by the PMR Partnership Assembly for funding proposals whose requested amounts are below an agreed threshold (Paragraph 18, Co-Chair's Summary of the Twentieth Meeting of the Partnership for Market Readiness Assembly, May 29-30, 2019, Brussels, Belgium), the Trustee shall further transfer the additional funding in the amount of one hundred ninety-nine thousand nine hundred twenty-four United States Dollars (US$199,924) (the "Additional Funds" and together with the Original Funds, the "Funds") from the PMR Transfer Trust Fund to the Delivery Partner, of which: (i) one hundred and eighty-five thousand, one hundred and fifteen United States Dollars (US$185,115) will be used to support the implementation of the additional funding proposal for Indonesia's market readiness under the Partnership for Market Readiness (the "TA2" together with the TA I, the "TA"); and (ii) fourteen thousand, eight hundred and nine United States Dollars (US$14,809) will be used to cover the Delivery Partner's administration expenses associated with TA2, as set forth in paragraph 6 (c) below. Together with the Original Funds, the aggregate amount of transfer made from the Trustee is three million three hundred forty-nine thousand nine hundred twenty-four United States Dollars (US$3,349,924)." b) Paragraph 6 is deleted in its entirety and replace by the following: "6. The Delivery Partner shall be entitled to withdraw from the Funding Account: (a) the amount of two hundred twenty-two thousand two hundred twenty-two United States dollars (US$222,222), which is equivalent to eight percent (8%) of the amount allocated for the TAI, to cover administration expenses incurred by the Delivery Partner under this Transfer Agreement in connection with the TAI; (b) the amount of one hundred fifty thousand United States dollars (US$150,000) to cover expenses incurred by the Delivery Partner in connection with the supervision of the TA I under this Transfer Agreement; and (c)the amount of fourteen thousand, eight hundred and nine United States Dollars (US$14,809), which is equivalent to eight percent (8%) of the amount allocated for the TA2, to cover administration expenses incurred by the Delivery Partner under this Transfer Agreement in connection with the TA2." c) Paragraph 7 is deleted in its entirety and replace by the following: "7. The Delivery Partner agrees that it shall not incur any commitments with respect to the Funds after February 28,2021 (the "End Date"). Any uncommitted or unused Funds remaining with the Delivery Partner after the End Date shall be returned to the Trustee for deposit in the PMR Transfer Trust Fund." 3. All other terms of the Transfer Agreement shall remain the same. 4. The Trustee and/or the Delivery Partner may make this Amendment and information with respect to it publicly available in accordance with their policies and procedures with respect to the disclosure of information, in effect at the time of such disclosure. By entering into this Amendment, the Delivery Partner consents to such disclosure. [reminder of page intentionally left blank] 2 5. Each of the Parties represents, by confirming its agreement below, that it is authorized to enter into this Amendment and act in accordance with these terms and conditions. The Trustee and the Delivery Partner are requested to sign and date this Amendment, and upon possession by the Trustee of this fully signed Amendment, this Amendment shall become effective as of the date of the Delivery Partner's signature.
