Second Amendment to the Grant Agreement
Excellency:
We refer to Grant Agreement between the Democratic Republic of Congo (the
"Recipient") and the International Bank for Reconstruction and Development and the
International Development Association acting as Implementing Organization of the
Central African Forest Initiative Implementation Single-Donor Trust Fund (the "World
Bank"), effective May 18, 2018, as amended (the "Grant Agreement"). Please note that
the capitalized terms used in this letter ("Amendment Letter") and not defined herein
have the meanings ascribed to them in the Grant Agreement.
Pursuant to your letter No. CAB/MIN FINANCES/PP/SKL/2022/0506 dated
March 23,2022, the World Bank proposes to amend the Grant Agreement to include the
second contribution from the CAFI Single-Donor Trust Fund in the amount of US$
9,029,794 million, as follows:
I.     Article 3.01 of the Grant Agreement is hereby deleted and replaced by the
following:
"3.01. The World Bank agrees to extend to the Recipient, on the terms and
conditions set forth or referred to in this Agreement, a grant in an amount not
to exceed twenty-seven million two hundred forty-seven thousand three
hundred eighty-three United States Dollars ($27,247,383) ("Grant") to assist
in financing the Project."


2.     The table of Eligible Expenditures under Section IV.A.2 of Schedule 2 to the Grant
Agreement is hereby deleted and replaced by the table set forth in Attachment to this
Amendment Letter.
3.     Section IV.B.2 of Schedule 2 to the Grant Agreement is hereby deleted and replaced by
the following:
"The Closing Date referred to in Section 3.06 (c) of the Standard Conditions is May 31,
2024."
All other provisions of the Grant Agreement that have not been amended hereby, shall
remain in full force and effect.
Please confirm your agreement to the foregoing by signing, dating and returning to us
one fully executed original of this Amendment Letter and retaining one original of the letter for
your records. Upon receipt by the World Bank of the copy of this Amendment Letter
countersigned by you, this Amendment Letter shall become effective as of the date of your
countersignature.
