The capitalized terms used in this letter (“Amendment Letter”) and not defined herein have the meanings ascribed to them in the Loan Agreement. We also refer to the letter from the Borrower, dated August 11, 2023, requesting the Bank to restructure the Project, to remove the subcomponent for the retrofitting of schools and other associated activities, to add a new subcomponent to reconstruct 18 schools damaged by the earthquakes that occurred in Türkiye in February 2023, to extend the Loan Closing Date, and to modifying the results framework. We are pleased to inform you that the Bank agrees with the request and hereby amends the Loan Agreement as follows: 1. Schedule 1 to the Loan Agreement is hereby replaced in its entirety as set forth in Annex 1 to this Amendment Letter. 2. Schedule 2, Section III.B.2, to the Loan Agreement is hereby replaced in its entirety as follows: “The Closing Date is December 31, 2026.” 3. The Definitions in the Appendix to the Loan Agreement are hereby amended by: Türkiye Country Office  Ugur Mumcu Caddesi 88  2nd Floor, 06700, Gaziosmanpasa  ANKARA – TÜRKİYE Tel: (90-312) 459 83 00  Fax: (90-312) 446 24 42 -2- (a) deleting the term “Construction and Real Estate Department” and “CRED” and the respective definition; and (b) inserting the following new terms and definitions, and consequentially, the succeeding definitions are renumbered accordingly: “‘Earthquake-affected Provinces’ means the eleven provinces of the Republic of Türkiye that sustained the greatest damages in the February 2023 Earthquakes, namely, Adana, Adiyaman, Diyarbakir, Elazığ, Gaziantep, Hatay, Kahramanmaras, Kilis, Malatya, Osmaniye, and Şanlıurfa.” “‘February 2023 Earthquakes’ means, for the purpose of this Project, the earthquakes that hit southeast Türkiye on February 6, 2023, of magnitude 7.8 and 7.5, and the aftershocks, and the earthquake that took place on February 20, 2023, of magnitude 6.7.” “‘General Directorate of Construction and Real Estate’ or ‘GDCRE’ means the general directorate of the same name under the Ministry of National Education, or any legal successor or successors of GDCRE thereto.” “‘Schools’ means selected school facilities under Part 1 of the Project, including associated educational facilities that serve teachers and students and are managed by MoNE, all of which shall be acceptable to the Bank.” 4. All references in the Loan Agreement to: (a) “Turkey” is hereby replaced with “Türkiye”; (b) “schools” in connection with Part 1 of the Project is hereby replaced with the term “Schools”; and (c) “Construction and Real Estate Department” and “CRED” are hereby replaced with, respectively, “General Directorate of Construction and Real Estate” and “GDCRE.” 5. In furtherance of Section 5.08 of the General Conditions, the results framework for the Project is hereby replaced in its entirety as set forth in Annex 2 to this Amendment Letter. All other provisions of the Agreement, except amended herein, shall remain in full force and effect. Please confirm, on behalf of the Borrower, your agreement with the foregoing, by signing and dating this Amendment Letter. This Amendment Letter shall be executed: (a) electronically, by e-signature (DocuSign); and (b) in hard copy, by wet signature, in two counterparts. The Project consists of the following parts: Part 1. Improving Seismic Resilience of Schools (a) Reconstruction of Schools. (i) Reconstruction of selected Schools in high seismic risk provinces in the Borrower’s territory, using design standards acceptable to the Bank that relate to, inter alia, accessibility, flexibility, adaptability, learning, and environmentally friendly materials. (ii) Provision of modern equipment to complement the learning environment. (b) Reconstruction of Damaged Schools in the Earthquake-affected Provinces. Reconstruction of 18 Schools damaged by the February 2023 Earthquakes. (c) Seismic Risk Assessments. Conducting of additional seismic risk assessments, including development or refinement of technical specifications to be used, land analysis, geotechnical surveys, design and design review, and supervision of construction works. (d) Communications. Carrying out of a communications campaign to publicize to the broader school communities the long-term benefits of said reconstruction activities, and school-based disaster risks. Part 2. Enhancing Institutional and Technical Capacity for Safer Schools Provision of technical assistance and training to enhance the engineering and analytical capacity of the General Directorate of Construction and Real Estate (“GDCRE”), including: (a) improvement of the minimum design criteria for school buildings, and development of standards and regulations to prevent non-structural damages; (b) carrying out of climate vulnerability assessment to identify risks and adaption measures; (c) carrying out of research on innovative technologies to improve efficiency of new constructions; (d) enhancement and further development of GDCRE’s capacity to detect, monitor and address Project implementation requirements, including, inter alia, quality assurance, occupational health and safety, and site-level monitoring; and -5- (e) provision of training to GDCRE to increase its technical capacity with respect to international practices and standards relevant to the Project, including innovative technologies to inform the design of the learning environment of schools, and in the areas of engineering, climate change, and disaster risk management. Part 3. Project Management Provision of goods, consulting services, non-consulting services, and Operating Costs to build capacity and support GDCRE in carrying out the Project and in Project management, including in the areas of procurement, financial management, disbursement, environmental and social safeguards compliance, and monitoring and evaluation, including data collection, and implementation assessments.
