Amendment No. 3 to the Administration Agreement between the Danish International
      Development Agency and the International Bank for Reconstruction and Development
     regarding the Indonesia Oceans, Marine Debris and Coastal Resources Multi-Donor Trust
                                     Fund (Trust Fund No. TF072956)



1.      Reference is made to the Administration Agreement between the Danish International
Development Agency (the “Donor”) and the International Bank for Reconstruction and Development
(the “Bank”, and together with the Donor, the “Parties” and each a “Party”) regarding the Indonesia
Oceans, Marine Debris and Coastal Resources Multi-Donor Trust Fund (Trust Fund No. TF072956)
effective as of November 28, 2017, as amended (the “Administration Agreement”).

2.        The Parties agree to amend the Administration Agreement as follows:
(a)       Section 2 of Annex 1 shall be deleted and replaced with the following:

          “2. Activities

                 The activities to be financed by the Trust Fund are:
          2.1.       Bank-executed activities, for which the Bank has implementation responsibility:

                 (a) Provisions of technical assistance for improving sustainable management of
                     Indonesia’s oceans and coasts, through, inter alia, supporting activities related to
                     analytical work, coordination, planning, communications, capacity building, testing
                     new approaches and multi-stakeholder policy dialogue.

                 (b) Program management and administration activities for the Trust Fund, including
                     but not limited to, supporting any program governance arrangements and Trust
                     Fund related meetings; planning and executing work plans and budgets; managing
                     communications and conducting outreach; disseminating lessons learned; reporting
                     on progress; and monitoring and evaluating the program.

                 (c) Carrying out of identification and appraisal of, and provision of implementation
                     support, to Recipient-executed activities.

          2.2       Recipient-executed activities, for which one or more Recipients (as defined in
                    Annex 2) have implementation responsibility:

                    Support for strategic priorities to sustainably manage Indonesia’s oceans and coasts,
                    including, but not limited to, technical assistance, policy support and investment,
                    supporting the national oceans agenda, reducing marine debris, and enhancing the
                    resilience of coastal and marine resources.”

(b)     Section 7 of Annex 1 will be deleted and replaced with the following:

        “A Steering Committee shall be established for the Trust Fund to provide strategic guidance
        and direction on the implementation of the Trust Fund activities, endorse annual work plans
        and budgets presented by the Bank and review progress reports provided by the Bank based on
        the results framework for the Trust Fund. The Steering Committee will consist of: (a)
        representatives of the Bank; (b) a representative of each Donor contributing to the Trust Fund;
        and (c) representatives of the Republic of Indonesia. The Steering Committee will be co-
        chaired by a senior-level representative of the Bank and a senior-level representative of the
        Government of Indonesia. The Steering Committee will meet annually, as convened by the
        Bank. Meetings may be conducted physically or virtually with decisions made by consensus.”

3.      All other terms of the Administration Agreement shall remain the same.

4.       Each of the Parties represents, by confirming its agreement below, that it is authorized to enter
into this Amendment and act in accordance with these terms and conditions. The Parties are requested
to sign and date this Amendment, and upon possession by the Bank of this fully signed Amendment
and respective amendments signed by all other donors to the Trust Fund, this Amendment shall come
into effect as of the date of the last signature.
