    Dear Mr. Pokharel:


                   Nepal: Livestock Sector Innovation Project (Credit No. 6149-NP)
               Extension of Closing Date and Proactive Cancellation of Credit Proceeds

           We refer to the Financing Agreement between Nepal ("Recipient") and the International
    Development Association ("Association") dated January 21, 2018 as amended ("Financing
    Agreement"), pursuant to which the Association has extended the above captioned Credit
    ("Credit") for the Livestock Sector Innovation Project ("Project").

           We also refer to: (i) the Recipient's letter dated June 11, 2023 requesting partial
    cancellation of the Credit and extension of the Closing Date and (ii) the Association's letter dated
    June 27, 2023 regarding the restructuring of the Project.

            In view of the foregoing, and in accordance with the provisions of Section 6.01 of the
    Association's General Conditions for IDA Financing, Investment Project Financing, dated July
    14, 2017 as modified, and applicable to the Financing Agreement, the Association hereby cancels
    as of June 11, 2023 eight million eight hundred thousand United States Dollars (USD 8,800,000).

          The revised withdrawal table set forth in Section IV. I of Schedule 2 to the Financing
    Agreement has been revised accordingly and is attached to this letter.

            In addition, the Association has established June 30, 2024 as the later date for the purposes
    of Section IV.3 of Schedule 2 to the Financing Agreement.

           Except as specifically amended by this amendment letter, all other provisions of the
    Financing Agreement shall remain unchanged and in full force and effect.

        Please confirm your acceptance to the foregoing by signing and dating the two originals of
this amendment letter, retaining one original for your records and returning the other original to the
Association. Upon receipt by the Association of the original amendment letter countersigned by
you, in a manner satisfactory to the Association, this amendment letter will become effective as of
the date of the countersignature.
