CREDIT NUMBER 7299-BD Program Agreement (Program on Agricultural and Rural Transformation for Nutrition, Entrepreneurship, and Resilience in Bangladesh) between INTERNATIONAL DEVELOPMENT ASSOCIATION and BANGLADESH AGRICULTURAL RESEARCH COUNCIL CREDIT NUMBER 7299-BD PROGRAM AGREEMENT AGREEMENT between INTERNATIONAL DEVELOPMENT ASSOCIATION ("Association") and BANGLADESH AGRICULTURAL RESEARCH COUNCIL ("Program Implementing Entity") ("Program Agreement") in connection with the Financing Agreement ("Financing Agreement") of the Signature Date between PEOPLE'S REPUBLIC OF BANGLADESH ("Recipient") and the Association, concerning Credit No. 7299-BD. The Association and the Program Implementing Entity hereby agree as follows: ARTICLE I - GENERAL CONDITIONS; DEFINITIONS 1.01. The General Conditions (as defined in the Appendix to the Financing Agreement) apply to and form part of this Agreement. 1.02. Unless the context requires otherwise, the capitalized terms used in this Agreement have the meanings ascribed to them in the Financing Agreement and the General Conditions. ARTICLE II - PROGRAM 2.01. The Program Implementing Entity declares its commitment to the objectives of the Program. To this end, the Program Implementing Entity shall carry out its Respective Part of the Program in accordance with the provisions of Article V of the General Conditions and the Schedule to this Agreement, and shall provide promptly as needed, the funds, facilities, services and other resources required for its Respective Part of the Program. ARTICLE III - TERMINATION 3.01. For purposes of Section 9.05(c) of the General Conditions, the date on which the provisions of this Agreement shall terminate is twenty (20) years after the Signature Date. Implementation Arrangements A. Program Fiduciary, Environmental and Social Systems 1I Without limitation on the provisions of Article V of the General Conditions, the Program Implementing Entity shall carry out its Respective Part of the Program in accordance with financial management, procurement and environmental and social management systems acceptable to the Association and included in the applicable Program Operations Manual which are designed to ensure that: (a) the Credit proceeds for the Program Implementing Entity's Respective Part of the Program are used for their intended purposes, with due attention to the principles of economy, efficiency, effectiveness, transparency, and accountability; and (b) the actual and potential adverse environmental and social impacts of the Program Implementing Entity's Respective Part of the Program are identified, avoided, minimized, or mitigated, as the case may be, all through the agreed environment and social management measures and procedures, as well as through an informed decision-making process. B. Other Program Institutional and Implementation Arrangements 1 . Program Institutions The Program Implementing Entity shall, not later than three (3) months after the Effective Date, establish and thereafter maintain throughout the duration of the Program the following units and teams: (a) an APCU, with composition and terms of reference satisfactory to the Association and in accordance with the provisions of the Program Operations Manual, vested with the responsibility of: (i) overall management including of activities related to fiduciary, reporting and monitoring aspects of their Respect Part of the Program; (ii) overseeing the functions of the DTTs; (iii) facilitating support to other agencies involved in the Program; and (iv) reporting to the PCU in accordance with the provisions of the Program Operations Manual. (b) a DTT, for each DLI that falls under its Respective Part of the Program, led by a DLI Technical Head, with composition and terms of reference satisfactory to the Association and in accordance with the provisions of the Program Operations Manual, vested with the responsibility of: (i) implementing the DLI in respect of which the DTT is established; (ii) overall management including of activities related to fiduciary, reporting and monitoring aspects of the DLI in respect of which the DTT is established; and (iii) reporting to the APCU in accordance with the provisions of the Program Operations Manual. 4 2. Program Operations Manual (a) The Program Implementing Entity shall, within three (3) months after the Effective Date, adopt the Program Operations Manual in form and substance acceptable to the Association, and implement the Program in accordance with the provisions of Program Operations Manual. (b) Except as the Association may otherwise agree in writing, the Program Implementing Entity shall not amend, abrogate or suspend, or permit to be amended, abrogated or suspended any provision of the Program Operations Manual without the prior written agreement of the Association. (c) Notwithstanding the foregoing, if any provision of the Program Operations Manual is inconsistent with the provisions of this Agreement, the provisions of this Agreement shall prevail. 3. Program Action Plan Unless otherwise agreed with the Association, the Program Implementing Entity shall carry out the Program Action Plan in a manner satisfactory to the Association, and except as the Association shall otherwise agree, shall not assign, amend, abrogate, or waive any provision of the Program Action Plan. 4. Additional Program Implementation Arrangements The Program Implementing Entity undertakes to cooperate with the Independent Verification Agent appointed by the Recipient, through the DAE, and timely provide all information as requested by the Independent Verification Agent in order for it to perform its functions as set out in Section III.B. Ito Schedule 2 of the Financing Agreement. Section II. Excluded Activities The Program Implementing Entity shall ensure that its Respective Part of the Program shall exclude any activities which: A. in the opinion of the Association are likely to have significant adverse impacts that are sensitive, diverse, or unprecedented on the environment and/or affected people; B. involve the procurement of: (1) works, estimated to cost seventy-five million Dollars ($75,000,000) equivalent or more per contract; (2) goods, estimated to cost fifty million Dollars ($50,000,000) equivalent or more per contract; (3) non-consulting services, estimated to cost fifty million Dollars ($50,000,000) equivalent or more per contract; or (4) consulting services, estimated to cost twenty million Dollars ($20,000,000) equivalent or more per contract. 5 Section III. Program Monitoring, Reporting and Evaluation 1. The Program Implementing Entity shall monitor and evaluate the progress of its Respective Part of the Program and prepare Program Reports for the Program, in accordance with the provisions of Section 5.08 of the General Conditions. Each Program Report shall cover the period of one (1) calendar semester (six (6) months), and shall be furnished to the Recipient, through DAE, not later than one (1) month after the end of each calendar semester, covering the calendar semester for incorporation and forwarding by the Recipient, through DAE, to the Association of the overall Program Report. 2. The Program Implementing Entity shall provide to the Recipient, not later than six (6) months after the Closing Date, for incorporation in the report referred to in Section 5.08 (c) of the General Conditions all such information as the Recipient or the Association shall reasonably request for the purposes of these Sections. 3. Except as may otherwise be explicitly required or permitted under this Agreement or as may be explicitly requested by the Association, in sharing any information, report or document related to the activities described in Schedule I to this Agreement, the Program Implementing Entity shall ensure that such information, report or document does not include Personal Data. 6
