  Re: MADAGASCAR: SUSTAINABLE LANDSCAPE MANAGEMENT PROJECT (PADAP)
                            IDA Grant No. D8740-MG
                                                Cancellation

       We refer to the Financing Agreement (“Financing Agreement”) between the Republic of
Madagascar and the International Development Association (“World Bank”), dated July 21, 2021, for
the Madagascar Sustainable Landscape Management Project, pursuant to which the World Bank has
extended the above captioned Grant (“Project”).

         We also refer to your letter dated March 25, 2024, requesting cancellation of an amount of the
above-captioned IDA Grant. We note that a specific reference currency was not included in said
request.

       In view of the foregoing, and in accordance with the provisions of Section 6.01 of the
General Conditions for Credits and Grants applicable to the Grant Agreement, the World Bank
hereby cancels, as of March 25, 2024, the amounts allocated to Category (1) as set forth in Section
III.A of Schedule 2 to the Grant Agreement as follows:

      an amount equal to SDR 5,553,000 from Category (1).

      The withdrawal table set forth in Section III.A of Schedule 2 to the Grant Agreement has
been revised accordingly and the revised withdrawal table is attached to this letter.
       Please confirm your agreement with the foregoing on behalf of the Recipient by signing
and dating the two original copies of this letter and returning one countersigned original to us. Upon
receipt by the Association of said countersigned original, this amendment shall become effective
as of the date of your countersignature.
