The Tunisian Company of Electricity and Gas (Société Tunisienne de l’Electricité et du Gaz (STEG) (the Borrower), under the tutelage of the Ministry of Industry, Energy & Mines, will implement the Tunisia-Italy Electricity Integration Project (P179240), (the Project), as set out in the IBRD Loan Agreement and the GCF Financing Agreement with STEG, except for Subcomponent 3.3, which will be implemented by the Republic of Tunisia through the Project implementation unit (PROMESSE PIU) under the Ministry of Higher Education and Scientific Research as set out in the IBRD Loan Agreement and the GCF Financing Agreement with the Republic of Tunisia. The International Bank for Reconstruction and Development (Bank) has agreed to provide financing for the Project, “Tunisia-Italy Electricity Integration Project (P179240)� as set out in the referred agreements. 2. The Borrower shall ensure that the Project and its Associated Facilities (namely the submarine cable in Tunisian waters) is carried out in accordance with the Environmental and Social Standards (ESSs) and this Environmental and Social Commitment Plan (ESCP), in a manner acceptable to the Bank. The ESCP is a part of the IBRD Loan Agreement and GCF Financing Agreements. Unless otherwise defined in this ESCP, capitalized terms used in this ESCP have the meanings ascribed to them in the referred agreements. 3. Without limitation to the foregoing, this ESCP sets out material measures and actions that the Borrower shall carry out or cause to be carried out, including, as applicable, the timeframes of the actions and measures, institutional, staffing, training, monitoring and reporting arrangements, and grievance management. The ESCP also sets out the environmental and social (E&S) instruments that shall be adopted and implemented under the Project and its Associated Facilities, all of which shall be subject to prior consultation and disclosure, consistent with the ESS, and in form and substance, and in a manner acceptable to the Bank. Once adopted, said E&S instruments may be revised from time to time with prior written agreement by the Bank. 4. As agreed by the Bank and the Borrower(s), this ESCP will be revised from time to time if necessary, during Project implementation, to reflect adaptive management of Project changes and unforeseen circumstances or in response to Project performance. In such circumstances, the Borrower, STEG, through the PIU under the tutelage of the Ministry of Industry, Energy & Mines and the Republic of Tunisia through the PIU PROMESSE under the Ministry of Higher Education and Scientific Research for component 3.3 and the Bank agree to update the ESCP to reflect these changes through an exchange of letters signed between the Bank and the STEG under the tutelage of the Ministry of Industry, Energy & Mines and Republic of Tunisia as the borrower for component 3.3.
