Unless the context otherwise requires, the capitalized terms used in this letter (“Amendment Letter”) have the same meanings ascribed to them in the General Conditions or in the Financing Agreement. We are pleased to inform you that the Association concurs to your request and proposes to amend the Financing Agreement as follows: 1. All references to MHCS are hereby deleted and replaced with “MCHCS”. 2. Section 3.01 of the Financing Agreement is hereby amended to read as follows: “3.01. The Recipient declares its commitment to the objective of the Project. To this end, the Recipient shall carry out the Project through MCHCS and with technical support from the Participating DHCs, in accordance with the provisions of Article V of the General Conditions and Schedule 2 to this Agreement.” 3. Article IV of the Financing Agreement is hereby deleted in its entirety and the following Articles are renumbered to maintain alphabetical order. 4. Sections 6.01 and 6.02 of the Financing Agreement are hereby amended to read as follows: “6.01. The Recipient’s Representative is its Minister of Economy and Finance. 6.02. For purposes of Section 11.01 of the General Conditions: (a) the Recipient’s address is: Ministry of Economy and Finance Istiklol street 29 -2- Tashkent 100017 Republic of Uzbekistan; and (b) the Recipient’s Electronic Address is: Facsimile: +99871 2035050” 5. Part A of Schedule 1 to the Financing Agreement is hereby amended to read as follows: “Part A. Modernization of District Heating Systems Financing of energy efficiency investments in the renovation of heat production, transmission and distribution systems, including installation of building-level individual heating substations and heat meters. 1. The City of Andijan. Restoration and improvement of heat and hot water supply systems to Selected Project Buildings, including: (a) installation of new boilers with related gas supply substation; (b) replacement of district heating network; (c) installation of individual heating substations in Selected Project Buildings, including in containers outside of the buildings; (d) reconstruction of the power supply network and electrical installation; (e) reconstruction of water supply network; (f) restoration of obsolete intra-building and intra-apartment heat and hot water systems; (g) installation of digital commercial gas, electricity, heat and water meters; (h) organization of a centralized dispatching system; (i) provision of maintenance facilities, equipment and vehicles for the Andijan DHC; (j) construction control and other construction-related services and other related fees; and (k) construction technical supervision. 2. The City of Bukhara. Restoration and improvement of heat and hot water supply system to Selected Project Buildings, including: (a) installation of new boilers; (b) replacement of district heating networks; (c) installation of individual heating substations in Selected Project Buildings, including in containers outside of the buildings; (d) restoration of obsolete intra-house and intra-apartment heat and water supply systems; (e) reconstruction of the power supply network and electrical installations; (f) installation of digital commercial electricity, heat and water meters; (g) organization of a centralized dispatching system; (h) provision of maintenance facilities, equipment and vehicles for the Bukhara DHC; (i) reconstruction of the hot water (gas) boiler building; (j) construction control and other construction services and other related fees; and (k) construction technical supervision. 3. The City of Chirchik. Restoration and improvement of heat and hot water supply systems to Selected Project Buildings, including: (a) installation of new boilers; (b) installation of water supply connection to the boiler house; (c) replacement of district heating network; (d) installation of individual heating substations in Selected Project Buildings, including in containers outside of the buildings; (e) restoration of obsolete intra-house and intra-apartment heat supply systems; (f) reconstruction of the power supply network and electrical installations; (g) installation of digital commercial electricity, heat and water meters; (h) organization of a centralized dispatching system; (i) provision of maintenance facilities, equipment and vehicles for the Chirchik DHC; (j) construction control -3- and other construction services and other related fees; and (k) construction technical supervision. 4. The City of Samarkand. Restoration and improvement of heat and hot water supply system to Selected Project Buildings including: (a) installation of new boilers with related gas supply substation; (b) replacement of district heating networks; (c) installation of individual heating substations in Selected Project Buildings and in containers outside of the buildings; (d) restoration of obsolete intra-house and intra-apartment heat and hot water supply systems; (e) reconstruction of the power supply network, electrical installations and water supply network; (f) reconstruction of water supply network; (g) installation of digital commercial gas, electricity, heat and water meters; (h) organization of a centralized dispatching system; (i) provision of maintenance facilities, equipment and vehicles for the Samarkand DHC; (j) construction control and other construction services and other related fees; and (k) construction technical supervision.” 6. A new Part C is hereby added to Schedule 1 to the Financing Agreement to read as follows: “Part C In-Building and In-Apartment Infrastructure Rehabilitation of (i) in-building heating systems and (ii) in-apartment heating systems of Selected Project Buildings in the Project areas in Andijan, Bukhara, Chirchik and Samarkand.” 7. Section I.A.1. of Schedule 2 to the Financing Agreement is hereby amended to read as follows: “1. The Recipient, through MCHCS: (a) shall be responsible for overall Project oversight and policy guidance; and (b) shall maintain during the entire Project implementation period the Project Coordination Unit for the purposes of day-to-day Project management, monitoring and supervision with functions, terms of reference and resources acceptable to the Association.” 8. A new Section I.A.5 is hereby added to Schedule 2 to the Financing Agreement to read as follows: “5. For the carrying out of Part C of the Project, the Recipient, through MCHCS, shall: (a) prepare and adopt a Financing and Repayment Program Manual, to be included in the POM as an annex, setting out the terms and conditions for the agreements to be entered into with the beneficiary households on the provision of assets to the beneficiary households and the reimbursement, if applicable, by the beneficiary households for said assets, acceptable to the Association. Such terms and conditions shall include inter alia (i) that the term of reimbursement by the beneficiary households shall be five years, and (ii) that low-income households shall not be required to reimburse such assets; and (b) carry out Part C of the Project according to Financing and Repayment Program Manual.” 9. Section I.B of Schedule 2 to the Financing Agreement is hereby amended to read as follows: -4- “1. To facilitate the carrying out of Part A and C of the Project, the Recipient and MCHCS, shall enter into agreements with each of the Participating DHCs, Khokimiyats and SUE, under terms and conditions satisfactory to the Association (“Subsidiary Agreements”) which include, inter alia, (a) the commitment of the Recipient to transfer the assets procured for Part A and Part C of the Project with the Credit proceeds to the respective Participating DHCs, Khokimiyats or SUE, as applicable; (b) any terms for reimbursement by the Participating DHCs, Khokimiyats or SUE, as applicable, for said assets. 2. The Recipient, through the Subsidiary Agreements, shall obtain rights adequate to protect its interests and those of the Association, namely that, each Participating DHCs, Khokimiyats or SUE, as applicable, shall be required to: (1) carry out or cause its respective part(s) of the Project to be carried out, with due diligence and efficiency and in accordance with sound technical, economic, financial, managerial, environmental and social standards and practices satisfactory to the Association, including in accordance with: (a) the provisions of the Anti-Corruption Guidelines applicable to recipients of Financing proceeds other than the Recipient; and (b) the Safeguard Instruments, including, if applicable, any Supplemental Social and Environmental Safeguard Instrument for any Project activities is required, all measures required to be taken pursuant to such instrument prior to the commencement of works are taken as required; (2) maintain policies and procedures adequate to enable it to monitor and evaluate in accordance with indicators acceptable to the Association, the progress of its respective part(s) of the Project and the achievement of the Project objective; (3) enable the Recipient and the Association to inspect the Participants DHC’s, Khokimiyats’ or SUE’s, as applicable, respective part(s) of the Project, its operation and any relevant records and documents; and (4) prepare and furnish to the Recipient and the Association all such information as the Recipient or the Association shall reasonably request relating to the foregoing. 3. The Recipient shall exercise its rights under the Subsidiary Agreements in such manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing, and, except as the Association shall otherwise agree, the Recipient shall not assign, amend, abrogate, or waive, or permit to be assigned, amended, abrogated, or waived, the aforementioned, or any provision thereof.” 10. A new Section I.C is hereby added to Schedule 2 to the Financing Agreement to read as follows. The following sections are renumbered accordingly. “Arrangements for Part C of the Project The Recipient, through the MCHCS, shall cause the SUE to (a) before commencing any rehabilitation on an in-apartment heating system, enter into an agreement with the beneficiary household, on terms and conditions set out in the Financing and Repayment Program Manual and acceptable to the Association; and (b) exercise its rights under the agreements referred to in such manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing, and, except as the Association shall otherwise agree, not assign, amend, abrogate, or waive, or permit to be assigned, amended, abrogated, or waived, the aforementioned, or any provision thereof.” -5- 11. The withdrawal table in Section IV.A of Schedule 2 to the Financing Agreement is hereby amended to read as follows: Percentage of Amount of the Credit Expenditures to be “Category Allocated Financed (expressed in USD) (exclusive of Taxes other than Withheld Taxes) (1) Goods, works, non- 88,600,000 100% consulting services, consultants’ services, Training and Incremental Operating Costs for the Project (except for Parts A.1 and C) (2) Goods, works, non- 28,100,000 100% consulting services and consultants’ services for Part A.1 of the Project (3) Goods, works, non- 23,300,000 100% consulting services, and consultants' services for Part C of the Project TOTAL AMOUNT 140,000,000” 12. The following new paragraphs IV.B.1 (c) and (d) are hereby added to Schedule 2 to the Financing Agreement to read as follows: “(c) under Category (3) until the Recipient, through the MCHCS, has updated the Subsidiary Agreements to cover Part C of the Project, as set out in Section I.B of Schedule 2 to the Financing Agreement, and satisfactory to the Association; and (d) under Category (3) until the Recipient, through the MCHCS, has prepared and adopted a Financing and Repayment Program Manual, acceptable to the Association for the carrying out of Part C of the Project.” 13. The following definitions of the Appendix to the Financing Agreement are hereby amended to read as follows: “3. “Andijan EMP” means the Environmental Management Plan prepared by Andijan DHC and disclosed by Andijan DHC on September 13, 2017 and on the Association’s website on September 19, 2017 that describes environmental mitigation, monitoring and institutional measures for the activities financed under Part A.1 of the Project and to be updated by the Andijan DHC to include environmental mitigation, monitoring and institutional measures for the activities financed under Part C of the Project and re- -6- disclosed, satisfactory to the Association, as such plan may be amended from time to time with the agreement of the Association.” “7. “Bukhara EMP” means the Environmental Management Plan prepared by Bukhara DHC and disclosed by the Bukhara DHC on September 13, 2017 and on the Association’s website on September 19, 2017, that describes environmental mitigation, monitoring and institutional measures for the activities financed under Part A.2 of the Project and to be updated by the Bukhara DHC to include environmental mitigation, monitoring and institutional measures for the activities financed under Part C of the Project and re- disclosed, satisfactory to the Association, as such plan may be amended from time to time with the agreement of the Association.” “13. “Chirchik EMP” means the Environmental Management Plan prepared by Chirchik DHC and disclosed by the Chirchik DHC on September 13, 2017 and on the Association’s website on September 19, 2017 that describes environmental mitigation, monitoring and institutional measures for the activities financed under Part A.3 of the Project and to be updated by the Chirchik DHC to include environmental mitigation, monitoring and institutional measures for the activities financed under Part C of the Project and re- disclosed, satisfactory to the Association, as such plan may be amended from time to time with the agreement of the Association.” “17. “Environmental Impact Assessment” or “EIA” means the environmental impact assessment disclosed within Republic of Uzbekistan on September 13, 2017 and on the Association's website on September 19, 2017, identifying and assessing the potential environmental impacts of the activities to be undertaken under the Project, evaluating alternatives, and designing appropriate mitigation, management and monitoring measures and to be updated to include Part C of the Project and re-disclosed by the Recipient, satisfactory to the Association.” “24. “MCHCS” means the Recipient’s Ministry of Construction, Housing and Communal Services, or any successor thereto.” “26. “Participating DHC” means any one of the following: Andijan DHC, Bukhara DHC, Chirchik DHC, and Samarkand DHC; and “Participating DHCs” means all of these DHCs jointly.” “29. “Project Coordination Unit” or “PCU” means a project coordination unit established within the MCHCS in accordance with Section 5.01(c) of this Agreement and referred to in Section I.A.1 of Schedule 2 to this Agreement, comprising, inter alia, Project Coordinator, financial management specialist, procurement specialist, district heating engineer, environmental and social safeguard specialist, accountant, office manager.” “32. “Safeguards Instrument” means any of the following: EIA, RPF, Andijan EMP, Bukhara EMP, Chirchik EMP, Samarkand EMP, or any Supplemental Social and Environmental Safeguard Instrument, and “Safeguards Instruments” means all such instruments jointly.” “34. “Samarkand EMP” means the Environmental Management Plan prepared by Samarkand DHC and disclosed by the Samarkand DHC on September 13, 2017 and on the Association’s website on September 19, 2017 that describes environmental mitigation, monitoring and institutional measures for the activities financed under Part A.4 of the Project and to be updated by the Samarkand DHC to include environmental mitigation, -7- monitoring and institutional measures for the activities financed under Part C of the Project and re-disclosed, satisfactory to the Association, as such plan may be amended from time to time with the agreement of the Association. “36. “Selected Project Building” means any of the public or residential buildings benefitting from investments carried out under Part A and C of the Project, selected based on the selection criteria set forth in the POM, and approved by the Association; “Selected Project Buildings” means the plural thereof.” “43. “Subsidiary Agreements” means the agreements referred to in Section I.B.1 of Schedule 2 to the Agreement, collectively, and consisting of: (i) Andijan Subsidiary Agreement; (ii) Bukhara Subsidiary Agreement; (iii) Chirchik Subsidiary Agreement; and (iv) Samarkand Subsidiary Agreement; and “Subsidiary Agreement” means one of the above subsidiary agreements.” 14. The following new definitions are hereby added to the Appendix to the Financing Agreement in alphabetical order to read as follows and the remaining definitions are renumbered accordingly to maintain alphabetical order: ““Financing and Repayment Program Manual” means a manual to be prepared and adopted by the Recipient setting forth the financing and repayment modalities for the in-building and in- apartment infrastructure under Part C of the Project as further described in Section I.A.5 of Schedule 2 to the Financing Agreement.” ““State Unitary Enterprise” or “SUE” means the State Unitary Enterprises “Engineering company for repairment of multi-apartment buildings and reconstruction of heat supply systems” established through Presidential Resolution #PP-2900 dated February 18, 2017 “On the organization of the activities of the Ministry of housing and communal services of the Republic of Uzbekistan” and Presidential Decree #UP-151 dated August 28, 2023 “On measures for the effective organization of public administration in the field of construction and housing and communal services within the framework of administrative reforms”.” 15. Definitions Nos. 19, 20, 23, 37, 38, 39, 40 and 41 of the Appendix to the Financing Agreement are hereby deleted in their entirety and the remaining definitions are renumbered accordingly to maintain alphabetical order. 16. In furtherance of Section 5.08 of the General Conditions, the results framework for the Project is hereby replaced in its entirety as set forth in the Annex to this Amendment Letter. All other provisions of the Financing Agreement, except amended herein, shall remain in full force and effect. -8- Please confirm, on behalf of the Recipient, your agreement with the foregoing, by signing and dating this Amendment Letter in the spaces provided below. This Amendment Letter shall be executed in two counterparts, each of which shall be an original, and one of which shall be returned to us.
