            Dear Sir:

                                    Re:      Global Evaluation Initiative Grant No. TF0B7264
                                             Monitoring and Evaluation Capacity Building in Anglophone
                                             Africa Project
                                             Second Amendment to the Grant Agreement

                    We refer to the Grant Agreement (the “Agreement”), dated November 17, 2021, for the
            above-mentioned Project (“Project”) between the University of the Witwatersrand, Johannesburg
            (“Recipient”) and the International Bank for Reconstruction and Development and the International
            Development Association (collectively, the “World Bank”), acting as administrator of grant funds
            provided by various donors (“Donors”) under the Global Evaluation Initiative (GEI) Multi-donor
            Trust Fund.

                   We are pleased to inform you that the World Bank accedes to the Recipient’s request and
            proposes to amend the Agreement as follows:

            1.      The first paragraph of the preamble of the Agreement is amended to read as follows:

                    “In response to the request for financial assistance made on behalf of the University of the
                    Witwatersrand, Johannesburg (“Recipient”), I am pleased to inform you that the
                    International Bank for Reconstruction and Development/International Development
                    Association (“Bank”), acting as administrator of the Global Evaluation Initiative (GEI)
                    Multi-donor Trust Fund, proposes to extend to the Recipient for the benefit of the
                    Participating Anglophone African Countries, a grant in an amount not to exceed one
                    million nine hundred fifty thousand United States Dollars (USD1,950,000) (“Grant”) on
                    the terms and conditions set forth or referred to in this letter agreement (“Agreement”),
                    which includes the attached Annex, to assist in the financing of the project described in the
                    Annex (“Project”).”

            2.      The table of Section 3.01 of the Annex to the Agreement is modified to read as follows:

        Please confirm your agreement with the foregoing amendment by signing and dating this
Amendment Letter in the spaces provided below. All other provisions of the Amendment Letter,
except as amended herein, shall remain in full force and effect.

         This Amendment Letter shall be executed in two counterparts each of which shall be an
original and shall become effective upon receipt by the Bank of one countersigned original of this
Amendment Letter.
