                            Re: Kingdom of Tonga: Grant Number D543-TO
               (Statistical Innovation and Capacity Building in Tonga Project under the
              Statistical Innovation and Capacity Building in the Pacific Islands Program)
                                  Amendment to the Financing Agreement

         We refer to the Financing Agreement (“Financing Agreement”) dated March 24, 2020, between the
Kingdom of Tonga (“Recipient”) and the International Development Association (“Association”) for the
Statistical Innovation and Capacity Building in Tonga Project (“Project”) under the Statistical Innovation and
Capacity Building in the Pacific Islands Program. We also refer to the Recipient’s letter dated November 23,
2023, requesting some revisions be made to the Financing Agreement.

        We are pleased to inform you that the Association concurs with your request and proposes to amend
the Financing Agreement as follows:

1.      Section 1.A.2 of Schedule 2 to the Financing Agreement is hereby amended to read as follows:

        “2.      To facilitate the carrying out of the Project, the Recipient shall maintain at all times during
                 Project implementation, staff and resources satisfactory to the Bank, for the purpose of
                 inter alia, carrying out technical aspects of the Project implementation in accordance with
                 the provisions of this Agreement and the Project Operations Manual.”

       Except as specifically amended by this letter, all other provisions of the Financing Agreement shall
remain unchanged and in full force and effect.

        Please confirm your agreement to the foregoing on behalf of the Recipient by signing and dating
two originals of this letter, retaining one original for your records and returning the other original to the
Association. Upon receipt by the Association of the duly countersigned original of this letter, the
amendments herein shall become effective as of the date of the countersignature.
