     Amendment to the Financing Agreement and the Additional Financing Agreement

Excellency,
        We refer to (i) the financing agreement for Credit No. 6718-CG between the Republic of Congo
(“Recipient”) and the International Development Association (“Association”), dated July 13, 2020, as
amended (“Financing Agreement”); and (ii) the financing agreement for Credit No. 7114-CG between the
Recipient and the Association, dated June 23, 2022, for the above-referenced Project (“Additional
Financing Agreement”). In addition, we refer to the letter from the Recipient with reference no. 177-
23/MPSIR/CAB dated March 28, 2023, requesting restructuring of the Project title.
       I am pleased to inform you that, after due consideration, the Association concurs with the request
to amend the Project title as “Social Protection and Youth Productive Inclusion Project”. The
Association also uses this opportunity to update the legal covenants under the Additional Financing
Agreement.
      Consequently, the Financing Agreement and the Additional Financing Agreement are hereby
amended as set forth below:
    1. Financing Agreement

        (a) The title in the cover page of the Financing Agreement is hereby amended to read as follows
            (and all references to the Project are deemed to refer to) :
            “Social Protection and Youth Productive Inclusion Project”

    2. Additional Financing Agreement

        (a) The title in the cover page of the Financing Agreement is hereby amended to read as follows
            (and all references to the Project are deemed to refer to):
           “First Additional Financing for the Social Protection and Youth Productive Inclusion
           Project”

       (b) Paragraph 3(d) of Section I.A of Schedule 2 is hereby amended to read as follows:
           ‘For the purposes of implementing the activities under Part 6.1 of the Project, the Recipient,
           through the PMU, shall, not later than sixteen (16) months after the Effective Date, recruit
           and thereafter retain: (i) one (1) technical specialist to work on productive inclusion activities
           under Part 6.1 of the Project; (ii) a financial management specialist; and (iii) a monitoring
           and evaluation specialist, all with terms of reference, experience and qualifications satisfactory
           to the Association.’


        All other provisions of the Financing Agreement and the Additional Financing Agreement, except
as herein amended, shall remain in full force and effect.

        Please confirm your agreement with this proposed restructuring, on behalf of the Recipient, by
countersigning this amendment letter. This amendment shall become effective as of the date of
countersignature.
